Kilo Open Source Sponsorship Program Terms & Conditions

These Terms and Conditions ("Terms") govern participation in the Kilo Open Source Sponsorship Program ("Program") operated by Kilo Code Inc. ("Kilo," "we," "us," or "our"). By applying to or participating in the Program, you ("Participant," "you," or "your") agree to be bound by these Terms.

1. Program Overview

The Kilo Open Source Sponsorship Program provides selected open-source projects with access to Kilo's tools and services, including but not limited to Code Reviews, Kilo Credits, and Enterprise features. Participation is subject to application approval and ongoing compliance with these Terms.

2. Eligibility

To be eligible for the Program, projects must:

• Be open source with a publicly accessible repository
• Be licensed under a valid OSI-approved open-source license (e.g., MIT, Apache 2.0, GPL)
• Have an active maintainer who can agree to these Terms on behalf of the project

Kilo reserves the right to determine eligibility at its sole discretion.

3. Application and Selection

3.1. Submitting an application does not guarantee acceptance into the Program.

3.2. Kilo reviews applications on a rolling basis and will notify selected projects directly.

3.3. Tier placement (Seed, Builder, Growth, or Premier) is determined by Kilo based on factors including but not limited to: repository activity, community size, contributor count, and project visibility.

3.4. Kilo reserves the right to accept, reject, or waitlist any application without providing a reason.

4. Sponsorship Benefits

4.1. Accepted projects receive benefits based on their assigned tier:

4.2. Kilo Credits are non-transferable, have no cash value, do not roll over (unused credits reset at the beginning of each month), and expire if the Participant is removed from the Program or the Program is discontinued.

4.3. Kilo reserves the right to modify benefit amounts or tier structures at any time.

5. Participant Obligations

As a condition of participation, you agree to:

5.1. Enable Kilo Code Reviews on public pull requests in your sponsored repository, allowing Kilo to appear in your PR review flow.

5.2. Maintain active usage of sponsored features. Projects with no Code Review activity for 30 consecutive days may be removed from the Program.

5.3. Not misrepresent your affiliation with Kilo or imply official partnership beyond Program sponsorship.

5.4. Notify Kilo of any changes to the licensing or ownership of your project.

6. Marketing and Publicity

6.1. By participating in the Program, you grant Kilo permission to:

• List your project name and logo on Kilo's website and marketing materials
• Reference your project in case studies, blog posts, social media, and promotional content
• Use screenshots of Kilo Code Reviews on your public PRs for marketing purposes

6.2. You may publicly state that your project is part of the Kilo OSS Sponsorship Program, but may not imply endorsement of your project by Kilo.

7. Tier Changes and Reviews

7.1. Kilo may periodically review Participant tier placement and adjust tiers based on changes in project activity, size, or visibility.

7.2. Tier upgrades or downgrades will be communicated with at least 14 days' notice before taking effect.

7.3. Participants may request a tier review by contacting oss@kilo.ai.

8. Term and Termination

8.1. Program participation begins upon acceptance and continues until terminated by either party.

8.2. You may withdraw from the Program at any time by notifying Kilo in writing at oss@kilo.ai.

8.3. Kilo may terminate your participation at any time for any reason, including but not limited to:

• Violation of these Terms
• Inactivity (no Code Review usage for 90+ days)
• Changes to your project that affect eligibility
• Discontinuation of the Program

8.4. Upon termination, all Credits will be forfeited and access to sponsored features will be revoked.

9. Disclaimer of Warranties

THE PROGRAM AND ALL ASSOCIATED SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. KILO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM.

11. Modifications to Terms

Kilo reserves the right to modify these Terms at any time. Any modifications will be effective upon posting, and continued participation in the program constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
